Summary

Responsible for overseeing research and educational grant agreements by Varian’s Medical Affairs function that establish relationships with academic institutions, hospitals, clinics, foundations, and similar partners. Works with personnel in Medical Affairs and Legal, as well as external legal counsel, to prepare such agreements and strategically manage the overall portfolio. Agreement types may involve single or framework research agreements, clinical trial agreements, educational grant agreements, data use agreements, non-disclosure agreements, in-kind loans or grants, amendments, extensions, and terminations.

Responsibilities

  • Direct and oversee portfolio of investigator-initiated research grant agreements and educational grant agreements by Medical Affairs.
  • Develop, document, and socialize consistent strategic negotiating stances across all agreements in the portfolio.
  • Serve as legal escalation point for contract managers in Medical Affairs who negotiate research and educational grant agreements. 
  • Directly negotiate agreements involving especially complex issues or strategic considerations.
  • Independently manage oversight of multiple simultaneous negotiations in a fast-paced environment while prioritizing appropriately and providing high caliber work product.
  • Support contract managers as needed in managing the contract life cycle for the portfolio (contract initiation, negotiation, signature, amendment, and closeout or renewal).
  • Oversee further development and harmonization of multiple templates for various types of research agreements and amendments, as well as a related contract playbook that captures negotiating positions, step-downs, and any internal approvals or escalations required for deviations.
  • Ensure conformity to business needs, adherence to Varian policies and procedures, and alignment with government specifications and other compliance processes for research and educational grant activities.

Required Qualifications

  • Licensed to practice law in at least one U.S. jurisdiction.
  • 5+ years of progressively responsible transactional experience negotiating complex agreements in a corporate, academic, hospital, or law firm setting.
  • Proven ability to synthesize competing considerations – legal, business risk, and customer relationship – while moving negotiations forward and protecting company interests.
  • Experience with negotiating agreement terms addressing intellectual property rights, licensing, data use, technology transfers, indemnification, and limitations of liability.
  • Experience with a relevant industry: academic or healthcare institutions, medical device, pharmaceutical, biotech, or other life sciences.
  • Ability to translate complex business and legal concepts into clear and compelling text.

Preferred Qualifications

  • Experience with negotiating agreements for investigator-initiated research and clinical trials.
  • Experience with negotiating research agreements in both law firm and in-house settings, from both industry and university perspectives, and with both US and non-US collaborators.
  • Experience with negotiating agreements for industry-sponsored research or other collaborations between industry and academia.
  • Familiarity with internal organizational structure of academic healthcare facilities.
  • Familiarity with healthcare grant funding and/or coordinating scientific research.
  • In-depth understanding of compliance considerations for grant funding in the realm of healthcare or research agreements (anti-kickback, anti-fraud, etc.), and the key differences between US and non-US approaches on these topics.
